General:
"You" means the individual, company, organization, or group purchasing and/or applying for the service. 
"We" means the owner of the SponsorCards program.
"Sponsor" means the Service of associating with a card and/or cards through text links (maximum of 5 links per card) placed within the content as outlined within this agreement. 
"Card" and/or "Card(s)" means the Content and/or product(s) you are applying or purchasing the rights to be associated with.
"Service" means the SponsorCards program.
"Links" means the web address and text content you wish to use for the service.

Card(s):
You acknowledge each card contains information, links, and other material (collectively, the "Content") that are protected by copyright, trademark, or other proprietary rights of SponsorCards or other third parties. All Content on the Service is copyrighted as a collective work of SponsorCards pursuant to applicable copyright law. You agree to comply with any additional copyright notices, information, or restrictuions containted in any content available on or accessed through the Service. 

You may not publish, transmit, transfer or sell, reproduce, distribute, perform, display, or in any way exploit any of the Content, in whole or in part, except as expressly permitted in this Agreement. You may post with the Service any content owned by you (such as your original statements, features, trademarks, logos), content for which you have received express permission from the owner and content in the public domain. You assume all risk and responsibility for determining whether any content is in the public domain.

Service:
You will select one or more cards to sponsor and submit your request via eamil to reserve@auniverse.com complete with the five (5) text and links you wish to display on the Content with the location desired for these links (1 on top and 4 on bottom) for each card you wish to reserve.

On receipt of acceptance of your application your card will be reserved for the time period specified in the Acceptance Notification. Your sponsor links will be applied within 24 hours of receipt and confirmation of payment.

Your links shall remain active on the Content for 12 months beginning from the date they are posted on the Content. It is understood by you that many cards are popular over several years and owing to the maximum number of cards available for the service response to notification of renewal must be received 30 days prior to expiration of your service term. This is to allow others the opportunity to "bid" on your card should you choose not to renew your sponsorship for any consecutive annual term(s).

From time to time, we will verify the content on your links to ensure your site(s) is(are) consistent with the criteria we use to determine your acceptance into the service. The service may be cancelled immediately at our discretion (not unreasonably) should it be determined your site no longer meets with our approval. In the event of such cancellation NO refund shall be awarded. Cancellation shall be considered effective immediately upon sending an electronic message to the e-mail address that you have provided.

Note: cards are available for sponsorship on a first come first served as is basis. In the event more than one application is received for the same card the date and time of email receipt will be used to determine which applicant shall be awarded the sponsoship conditional upon confirmed receipt of payment.

Single Account:
Any person, company, or affiliiated group may have only one account. Each account however may purchase service on additional cards and/or card sites in accordance with the fees and payment detailed herein.

Right of Refusal:
SponsorCards may refuse at any time any website that is found to be inappropriate, based on SponsorCard's sole discretion. Websites that will not be accepted for service include, but are not limited to:
Sex (Nudity, Eroticism)
Software Pirating (Warez, Cracking, Etc.)
Hacking or Phreaking
Illegal MP3 Files
Any Illegal Activity Whatsoever
SponsorCards constantly monitors the content of sponsor sites to assure compliance.

Payment:
Payment must be made in the form of US Funds Money Order or US Funds Bank Draft. You are responsible for any charges related for purchasing the money order and/or bank draft as well as all postal/shipping fees where applicable. No cheques (checks) or credit card payments accepted at this time. The Notification of Acceptance email will provide details for mailing.

Payment for one full year must be received and confirmed in advance for this service. Monthly payments are not acceptable.

Fees:
Your first card sponsorship fees are $2.50/month US Funds one year paid in advance ($30/year). Each additional card is $5/month US Funds one full year paid in advance ($60/card/year). You may apply other links to additional cards however they will be charged as additional cards and not considered a "first card". These prices subject to change without notice, however no additional charges will be applied to service agreements already in place at such time of a change, but will apply to any future renewal(s) of service. 

Purchase of the service is non-refundable and non-transferable. You may, however, cancel your links to a specific card with the agreement understood that no refund will be issued and upon cancellation the card will be offered up for bid by other sponsors. Should you wish to "change" cards, it would be considered a non-refundable cancellation and the new card chosen would be considered an "additional" card and service purchased/approved for purchase accordingly.

Modifications:
SponsorCards reserves the right to change the terms and conditions of service at any time. You are responsible for complying with any new terms posted here within 10 days of the date changes are posted. For special circumstances, modifications of these terms and conditions may be made if approved via e-mail from an authorized SponsorCards representative. Modification requests should be directed to admin@auniverse.com.

Indemnification:
You agree to indemnify and hold SponsorCards harmless from and against any and all claims, demands, liabilities, expenses, losses, damages attorney fees arising from any and all claims and lawsuits for libel, slander, copyright, and trademark viloation as well as all other claims resulting from your web pages.

You guarantee that all content on your site is legal to distribute and that you own or have the legal right to use any and all copyrighted material.

Disclaimer of Warranties; Limitation of Liability:
Neither SponsorCards nor their partners, associates, affiliates, or agents (hereafter referred as "we") warrants that the service will be uninterrupted or error free, nor do "we" make any warranty as to the results to be obtained from use of the service or content. The service and the content are on an "As Is, As Available" basis. 

Neither SponsorCards nor their partners, associates, affiliates, or agents shall be liable for any direct, indirect, incidental, special or consequential damages arising out of the use of or inability to use the service, even if such party has been advised of the possibility of such damages.

Some States do not allow exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations or exclusions may not apply to you. In such states, the liability of SponsorCards, their partners, associates, affiliates, or agents shall be limited to the greatest extent permitted by law.

Independant Investigation:
You acknowledge that you have read this agreement and agree to all its terms and conditions. You understand that we may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this agreement or operate web sites that are similar to or compete with your web site. You have independently evaluated the desirability of participating in the program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.
